@TERMS OF SERVICE

Before starting a project, we need to make sure we are on the same page so there aren't misunderstandings and to protect against fraud, so please take some time to read through these terms! Thank you.This Terms of Service Agreement (“Agreement”) is entered into between the Artist and the Client for the commission of an artwork (“Work”), the purchase of a design, the entering of a raffle, and the use of F2U or PSU content. By doing any of the previous, you are acknowledging that you have read and agreed to these terms and conditions.If there is an ongoing/pending offer, you (the buyer) are still expected to abide by all changes in TOS.

COMMISSIONS

I. ENGAGEMENT

★ | a. The client provides clear and complete requirements and expectations upfront, including reference materials or assets, before work begins.★ | b. Client grants to the Artist non-exclusive rights to observe and replicate Client’s own character design, reference material, and other intellectual property for the use of the Work.★ | c. Client warrants that the character design, reference material, and other intellectual property provided to the Artist are legally obtained and authorized for use by the Client.★ | d. The client warrants that they have the authority to enter this agreement, be the point of contact, and are solely responsible for decisions and approval during the process.★ | e. The artist strives to perform to the best of their ability in good faith and warrants the work is 100% original according to the artist's best knowledge.★ | f. The artist may use commercially licensed, copyright-free, and/or educational materials, assets, and/or tools.★ | g. The artist warrants that they will not copy or heavily reference unauthorized materials.★ | h. The artist reserves the right to refuse projects or requests based on content, subject, or other reasons.★ | i. The artist defines the scope of work, features, price, deliverables, and other details for the project in a proposal in a format according to the artist's discretion, which may include a private message through Discord, Toyhouse, Google Drive, or email. The details set forth by the artist shall be agreed upon by the client before work begins.

II. CONTENT RESTRICTIONS

★ | a. Artist will not create content that is explicit, offensive, or inappropriate.★ | b. Specific restrictions are listed below:

III. TIMELINE AND PROCESS

★ | a. Work completion requires 2 weeks minimum and may take up to 3 to 6 months depending on each project.★ | b. The timeline depends on commission type, complexity, and workload.★ | c. The client should plan launches and streams accordingly.★ | d. The artist provides progress updates and seeks client feedback voluntarily.★ | e. Final deliverables are provided by the artist using Discord, Toyhouse, email, Google Drive, or similar file transfer tools in PNG, GIF, MP4, or other formats as applicable. Any files hosted by the artist will be available for the client to download for 2-3 months.★ | f. If there are any delays and adjustments to the timeline, the artist will inform the client.★ | g. Clients must first agree to delays and amendments to the timeline exceeding 1 month through standard communication channels.★ | h. Clients have the right to request refunds 2 weeks after deadlines according to 8.c. if work has not been delivered and there was no agreed-upon amendment to the timeline.

IV. REVISIONS

★ | a. One revision is allowed per item shown to the client during the process (i.e., after line art, only minor revisions are allowed.)★ | b. Additional charges for excessive revisions may be required.★ | c. Revisions may affect progress and timeline.★ | d. Clients may not edit the work after final delivery unless specified in the commission information, project outlines, or otherwise approved by the artist.

V. COMMUNICATION

★ | a. Ongoing communication and discussion will occur throughout the project, including work in progress, idea generation and collaboration, situational updates, and more.★ | b. Communication channels may include Discord, artist’s commission Discord server, or Toyhouse according to artist discretion.★ | c. Artist response time may vary, up to 3-7 days, in order to provide better or more concrete updates.★ | d. The artist and client agree to discuss relevant matters concerning the project. Both parties have the right to decline other topics of discussion.

VI. RIGHTS & USAGE

_1. Artist General Rights

★ | a. By default, the artist retains copyright, ownership, redistribution, and intellectual property rights, which include but are not limited to display, advertising, printing, the work, and work in progress on websites, social media, portfolios, public broadcast channels (i.e., Twitch), and more. Exempting when some or all of these rights are transferred to the client under express agreement or project specifications.★ | b. The artist may use rejected work in progress and versions for other projects according to their discretion. This is under the condition that it does not infringe the client's intellectual property rights and ownership of their likeness, character design, branding, identity design, or any such trademarks.★ | c. If the client is against the use of rejected work or final pieces being used, included in the artist's portfolio, or posted, the client should first make this clear. They will be subject to pay a fee relative to 75-100% of the price.

_2. Client Rights for Personal Use Licensed Works

★ | a. Clients receive non-transferable usage rights to the work for personal use. Refer to Section 6.c. for commercial rights.★ | b. Personal use means display on social media accounts for promotional purposes with no direct monetization or sales, such as social media profile pictures, banners, and posts; print and framing in personal spaces; display as part of designs on websites and channels, excluding use in content of these websites or channels; or any other instances where no monetization of, or of content featuring, the work is involved.★ | c. Clients must not claim the work as their own and must credit the artist using their social tag/username/link at the instance of display of the work. Or permanently on their websites, social media profiles, broadcast channels, and so on where possible.

_3. Client Rights for Commercial Use Licensed Works

★ | a. Commercial usage rights are not included in general commissions unless specified in the commission type or project specifications listed on the artist's websites (i.e., VTuber models, stream overlays, emotes, and so forth) or purchased by the client and agreed upon.★ | b. Commercial rights may differ for each commission type. Commercial broadcast rights mean usage of work on streams, videos, advertisements, and other content, or any similar monetized instances; commercial distribution rights mean selling or reselling work to another party as a part of any product or merchandising, or on another platform.★ | c. In the case of original design work and assets for the purpose and definition of the client's brand identity, such as character design, logo design, and more. Intellectual property rights of the designs and their likeness are exclusively transferred to the client for use, production, and modification purposes. Commercial or personal. (Please clarify in further detail for each type of work if necessary.)★ | d. Usage of work for AI (artificial intelligence) tools, platforms, or programs; ML (machine learning) tools, platforms, or programs; AI or ML training; NFT; blockchain; or other for-profit platforms/purposes is strictly prohibited.★ | e. Additional charges will be required for commercial usage if not included in the project type, listing, or specifications, typically 2x the original cost.

VII. PAYMENTS & FEES

★ | a. Prices are non-negotiable.★ | b. Payment is upfront before any work begins.★ | c. If the amount due is < $300, the project is large in scale (i.e., animation memes), then payments are split between the sketch and final draft.★ | d. Invoices, proposals, or payment links will be sent to the client when the artist is ready to begin work.★ | e. Clients must not send money before these requests for payment from the Artist.★ | f. Invoices must be paid within 48-72 hours, or the project may be cancelled.★ | g. Prices are in USD and paid via PayPal or Ko-Fi or other acceptable payment methods as provided by the artist.★ | h. Prices may vary or change depending on complexity, requirements, and/or additional requests.★ | i. Once work has begun or payments have been made, the client acknowledges work and deliverables are digital and there are no physically shipped goods to receive.★ | j. The client agrees that they will not issue chargebacks and the refund policy mentioned below will be followed.

VIII. CANCELLATION & REFUNDS

★ | a. Clients may request a refund before any progress or client approval has been given.★ | b. No refunds are possible once work is completed, after work begins unless initiated by the artist, and except for circumstances due to the artist as in 8.c. and Section 3.★ | c. If the artist cannot complete work or there are delays as detailed in Section 3 for unforeseen reasons, the client may be eligible for a full refund. If work done up to this point is accepted and used by the client, the artist will provide a partial refund according to the amount of work completed.★ | d. Refunds may take around a week to go through.★ | e. If the client issues a chargeback/refund without proper communication to the artist, the client is immediately refused a refund and blacklisted.★ | f. The artist is given, at most, 2 weeks to respond to a request for a refund before the client is in a reasonable position to chargeback.

IX. CONFIDENTIALITY

★ | a. The artist and client acknowledge that information and materials that are provided to either party (including but not limited to personal information, technical information, marketing plans, payment information, or sensitive business information) outside the development of work, which will not be visible to the public, shall be considered confidential information. They shall not be disclosed to any other party without prior written permission from the owner of this confidential information.

X. INDEMNIFICATION

★ | a. Client indemnifies Artist against claims, losses, damages, and expenses related to Work usage by the Client, breach by the Client of the Agreement, or third-party claims.★ | b. If the client's rights and the terms of this agreement are violated or the work is not delivered as agreed, due to artist negligence, the artist will work to remedy the situation first according to the aforementioned terms. Otherwise, to the satisfaction of the client.

XI. ACCEPTANCE

★ | a. The client is 18+ and legally able to commit to an agreement or has a legal guardian to make this agreement on their behalf.★ | b. The agreement date is upon first inquiry/communication or first transaction.

BLACKLIST

block = automatic blacklist (this applies to current, previous, and future accounts). you are prohibited from contacting, commissioning, or purchasing from me if you are in my blacklist. those associated with blacklisted individuals will also be blacklisted.do not harass anyone on my blacklist.

Businesses, agencies, groups, and other organizations should contact the artist to discuss arrangements in more detail.

ADOPTABLES & CHARACTER DESIGNS

I. PURCHASING

★ | a. Payment is to be paid through PayPal (invoice only), Ko-Fi, or cashapp.★ | b. Payment is to be paid in 48 hours after being accepted. The character will be put back up for offer if the amount is not paid in the allotted time.★ | c. Holds are permissible relative to the price being paid.         i. Offers between $30-95 are given 1 week.        ii. Offers between $100-355 are given 2 weeks.        iii. Offers above $360 are allotted 3 weeks to 2 months, but must pay a down payment of 10-25% of the final bid, which contributes to the final amount due.★ | d. Payment plans are only permissible for offers above $100+★ | e. Payment plans require a down payment of 10-25% of the final bid. This down payment contributes to the final amount due.★ | f. Continual backouts and/or ghosting may result in a blacklist. Do not offer/bid if you are not able to pay. Ghosting is not appreciated—just tell me you're no longer interested.★ | g. If you are unable to pay/do not respond to the invoice after 48 hours, the character will be put back up for offer.★ | h. No refunds. All sales or payment plans are final and nonrefundable.

II. RESELLING / GIFTING / TRADING

★ | a. You may resell my designs.★ | b. Your price when reselling must reflect the price bought and/or the content added to the design (artwork, commissions, etc.).★ | c. Raffling paid/gifted designs is prohibited.★ | d. Selling raffled designs is prohibited; you may trade or give them away as you please.★ | e. You may gift or trade paid/raffled designs as you’d like.

III. USAGE

★ | a. Please refer to my commission TOS, section VI. RIGHTS & USAGE. Any and all applicable statements apply to this TOS.★ | b. I own the rights to all designs and must be credited as such unless rights have been bought from me. Even then, I must still be credited as the design maker.

IV. EDITING

★ | a. You may edit my designs freely, either redesigning, editing my artwork, or changing the design entirely.★ | b. My watermark must stay intact or otherwise have a clear indicator of my username if edits are that drastic.

V. TRANSFER & DELIVERY

★ | a. Once I have received full payment for your adoptable I will transfer the character over to you within 48hrs.
★ | b. You will have access to the unwatermarked files and any accessories/art that come along with the design.
★ | c. Be patient when I transfer the files to you, I do things as quickly as I possibly can whilst I have other obligations such as work and may not be online, harassment will not be tolerated. I will get your files to you as soon as I can.If it has been over 48 hours and I still haven't transferred your files, please let me know!

OWED WORK

I. GENERAL

★ | a. All applicable terms from all sections of my Commission-specific TOS apply here.★ | b. If you make any request that cannot properly be fulfilled (request is extreme, or puts a great burden of pressure on the artist) the artist has the right to default to the base (if applicable) or take artistic liberties to get owed work completed.

II. DELIVERY

★ | a. All applicable terms from all sections of my Commission-specific TOS apply here.★ | b. TAT is 2 weeks - 4 months depending on the status of queue.

BASES

I. GENERAL

★ | a. Through the purchase of F2U or P2U content, it is assumed that the consumer understands how and what to do with their purchased content. Nothing will be provided afterward that does not already come with the item(s).★ | b. Consumers will receive PNGs, PSDs, or other item(s) relevant to the purchased content to make use as easy as possible. No alternative files can be provided if one cannot open nor use the files provided.★ | c. These base files are intended for personal and limited commercial use. They are not to be used for extensive commercial purposes without prior agreement.

II. CREDIT

★ | a. All consumers shall credit @qynchia on toyhouse, @qynxiu on other platforms.
★ | b. Be clear to credit your own edits and credit me simply as the base.

III. USAGE

★ | a. Consumers may use bases for personal use and limited commercial use. Below shows specific uses, such as:
